of formation of European Companies (SE)
At its general assembly in Paris on June 12th, the Alliance for the promotion of the statute of ‘Societas europaea’ or European Company (ASEP) re-elected Thierry Breton, CEO of Atos SE, as its Chairman. Mr Jacques Gounon, CEO of Getlink SE, and Mr Jean-Pascal Tricoire, CEO of Schneider Electric SE, were re-elected as Vice-Chairman-Treasurer and Vice-Chairman-Secretary respectively.
At the meeting, the ASEP, which unites companies that have either adopted the European Company statute (SE) or plan to do so, welcomed the recent propositions by the European Commission relating to tax harmonisation and company laws included in the ‘company law’ package.
Thierry Breton said: “Choosing the European Company statute shows a commitment to and high expectations of Europe. Before the European elections of 2019 and at a time when Europe, facing protest votes and the UK’s withdrawal, questions its future, European companies expect debates at the European Parliament and Council on the new ‘company law’ package. The debates will be an opportunity to make the European Company statute more attractive and relax the conditions of its formation.”
The ASEP also announced that it wanted the statute to remain accessible to British companies wishing to keep it after the Brexit.
During the coming months the ASEP will meet with representatives of the European Commission and Parliament to put forward their proposals.

L’ASEP appelle à un assouplissement des conditions
de création des sociétés européennes (SE)
Lors de l’assemblée générale de l’Alliance pour la promotion du statut de « Societas europaea » ou société européenne (SE), l’ASEP, qui s’est tenue le 12 juin 2018 à Paris, Thierry BRETON, Président-Directeur Général d’Atos SE, a été réélu à la présidence de cette association. MM. Jacques GOUNON, Président-Directeur Général de Getlink SE, et Jean-Pascal TRICOIRE, Président Directeur Général de Schneider Electric SE, ont été reconduits respectivement Vice-Président-trésorier et Vice-Président-secrétaire.
A cette occasion, l’ASEP, qui réunit des entreprises ayant adopté le statut de SE ou envisagent de l’acquérir, a accueilli favorablement les propositions récentes de la Commission européenne en matière d’harmonisation fiscale et de droit des sociétés, contenues dans le paquet «droit des sociétés».
Selon Thierry BRETON, « Le choix du statut de SE manifeste un attachement et une attente fortes des entreprises vis-à-vis de l’Europe. A la veille des élections européennes de 2019 et au moment où, face à la montée des votes contestataires et au retrait du Royaume-Uni, l’Europe s’interroge sur son destin, les entreprises européennes attendent des débats qui vont s’engager au Parlement et au Conseil européens sur le nouveau paquet « droit des sociétés » qu’ils soient l’occasion de renforcer encore l’attractivité du statut de SE et d’en assouplir les conditions de création ».
L’ASEP a également annoncé qu’elle se mobiliserait par ailleurs pour que ce statut reste accessible aux sociétés britanniques qui souhaiteraient le conserver après le Brexit.
Sur ces différents sujets, l’ASEP rencontrera au cours des prochains mois des représentants de la Commission et du Parlement européens pour leur présenter ses propositions.

Die ASEP fordert eine Lockerung der Gründungsbedingungen

Im Rahmen der Generalversammlung der Allianz zur Förderung der „Societas europaea“ oder Europäischen Gesellschaft (SE), ASEP, die am 12. Juni 2018 in Paris stattfand, wurde Thierry Breton, Vorstandsvorsitzender von Atos SE, zum Präsident dieser Vereinigung wiedergewählt. Jacques GOUNON, Geschäftsführer von Eurotunnel, und Jean-Pascal TRICOIRE, Geschäftsführer von Schneider Electric, wurden jeweils zum stellvertretenden Vorsitzenden und Schatzmeister und zum stellvertretenden Vorsitzenden und Sekretär wiedergewählt.
Bei dieser Gelegenheit begrüßte die ASEP - die Unternehmen, die bereits den Status der europäischen Gesellschaft erworben haben oder es geplant haben - die jüngsten Vorschläge der Europäischen Kommission zum Thema Steuerharmonisierung und Gesellschaftsrecht, die im Maßnahmenpaket "Gesellschaftsrecht" enthalten sind.
Laut Thierry BRETON "zeit der Entschluss zum Status der Europäische Gesellschaft eine starke Bindung und Erwartungshaltung der Unternehmen gegenüber Europa. Kurz vor den Europawahlen 2019 und zu einem Zeitpunkt der Protestwahlen und des Austritts Großbritanniens, stellt sich Europa Zukunftsfragen und europäische Unternehmen hoffen auf Debatten zum "Gesellschaftsrecht"-paket im Europäischen Parlament und Europäischen Rat, um die Attraktivität des SE-Status weiter zu stärken und dessen Gründungsbedingungen zu erleichtern.“
Der ASEP kündigte ebenfalls an, dass sie sich für britischen Unternehmen engagieren wird, die den Status nach dem Brexit beibehalten möchten.
Zu all diesen Themen wird die ASEP in den kommenden Monaten Vertretern der Kommission und des Europäischen Parlaments Vorschläge präsentieren.
