European businesses call on the European Commission to increase the attractiveness of the statute of European company

With the European Union wanting to harmonise company taxation and the European Commission planning to present a company law package in the next few weeks, the Alliance for Societas Europaea (ASEP) is calling for the European Parliament and Council to take advantage of this opportunity to discuss improvement of the statute of European company to make it more attractive to businesses.

Introduced in a 2001 directive and adapted in France in 2005, the statute of European company (SE) facilitates the activities of companies within the European area and enables greater employee involvement in company governance. However, to date the statute has not experienced the success that was initially hoped for, notably due to the highly restrictive conditions of formation and the absence of tax harmonisation in the European Union.

Thierry Breton, Chairman of the ASEP and CEO of Atos SE, said:

“The European company statute offers a real opportunity for businesses to position themselves within a European perspective and identity, while giving them more agility in the European area and increasing employees’ role in companies’ governance.

“In these times of defiance of the European project, recently seen in the elections in Italy and Hungary, heads of businesses must more than ever push for and be committed in favour of a Europe resolutely turned towards the future. For ASEP members, the choice of the SE legal statute shows a commitment to and high expectations of Europe, which complements and reinforces national activities, and which will allow us to respond better to the numerous economic, social and environmental challenges we face. Therefore, we have to make this statute as attractive as possible.”

In a climate which now seems favourable to bringing national tax laws closer together, the ASEP is calling for a relaxation of the conditions of SE formation and for the European Commission to take advantage of the debates on the company law package to allow the statute of European company to achieve its full potential.

Les entreprises européennes appellent la Commission européenne à renforcer l’attractivité du statut de société européenne

 

Au moment où l’Union européenne souhaite harmoniser la fiscalité des sociétés et où la Commission européenne prévoit de présenter un « paquet » sur le droit des sociétés dans les prochaines semaines, l’Alliance pour la promotion du statut de « société européenne » (ASEP) considère que les discussions qui vont s’engager au Parlement et au Conseil européens doivent être également l’occasion  de débattre sans tarder d’une amélioration de ce statut de société européenne (SE) pour en renforcer encore l’attractivité.

Introduite dans une directive de 2001 transposée en France en 2005, la société européenne (SE) facilite les activités des entreprises au sein de l'espace européen et permet d’associer les salariés à leur gouvernance. A ce jour, ce statut n’a cependant pas rencontré le succès initialement espéré en raison notamment de conditions de constitution très restrictives et de l’absence d’harmonisation fiscale dans l’Union européenne.

« Le statut de société européenne constitue une vraie opportunité pour nos entreprises car il permet de les ancrer dans une perspective et une identité européennes tout en leur conférant plus d’agilité au sein de l’espace européen et en impliquant davantage les salariés dans leur gouvernance », souligne Thierry Breton, Président de l’ASEP et Président-Directeur général d’Atos SE. « En ces temps de défiance envers le projet européen, illustrée encore récemment par les élections en Italie et en Hongrie, les responsables d’entreprise doivent plus que jamais exercer un rôle d’impulsion et s’engager en faveur d’une Europe résolument tournée vers l’avenir. Aux yeux des membres de l’ASEP, le choix de la forme juridique de la SE manifeste un attachement et une attente fortes vis-à-vis de l’Europe qui, en complément et en renforcement des approches nationales, doit permettre de mieux répondre aux nombreux défis économiques, sociaux et environnementaux qui sont devant nous. Il convient donc de donner à ce statut la plus grande attractivité possible.»

Dans un contexte qui semble désormais favorable à un rapprochement des législations fiscales nationales, l’ASEP appelle donc à un assouplissement des conditions de constitution des SE et invite la Commission européenne à mettre à profit les débats qui vont s’engager autour du « paquet » relatif au droit des sociétés pour libérer pleinement le potentiel offert par le statut de société européenne.

Europäische Unternehmen fordern die Europäische Kommission auf, die Attraktivität des Statuts der Europäischen Gesellschaft (SE) zu steigern

 

Jetzt wo die Europäische Union die Unternehmensbesteuerung harmonisieren möchte und die Europäische Kommission in den kommenden Wochen ein Maßnahmenpaket zum Gesellschaftsrecht vorzulegen plant, betont die Allianz zur Förderung der Europäische Gesellschaft (SE), dass die im Europäischen Parlament und im Rat stattfindenden Diskussionen auch Gelegenheit bieten sollten, unverzüglich eine Verbesserung dieses Europäischen Unternehmensstatuts zu diskutieren, um ihn attraktiver zu machen.

Der Status der Europäische Gesellschaft (SE), der in Frankreich  2005 in Folge einer Richtlinie aus dem Jahr 2001 eingeführt wurde, erleichtert Unternehmen im europäischen Raum die Geschäftstätigkeit und trägt dazu bei, die Mitarbeiter in die Unternehmensführung einzubeziehen. Bislang hat dieser Status jedoch, insbesondere wegen der sehr restriktiven Verfassungsbedingungen und der fehlenden Steuerharmonisierung in der Europäischen Union, nicht den erhofften Erfolg gebracht.

"Der Status der Europäischen Gesellschaft bietet unseren Unternehmen eine einzigartige Chance, da er ihnen eine europäischen Perspektive und Identität sicherstellt. Außerdem erlaubt er den Firmen im europäischen Raum agiler zu werden und die Mitarbeiter stärker in ihre Unternehmensführung einzubeziehen.", betont Thierry Breton, Präsident der ASEP und Geschäftsführer von Atos SE. "In diesen Zeiten des Misstrauens gegenüber des europäischen Projekts, wie kürzlich durch die Wahlen in Italien und Ungarn gezeigt wurde, müssen Wirtschaftsführer mehr denn je die Rolle der Impulsgeber übernehmen und sich für ein zukunftsorientiertes Europa einsetzen. Für die ASEP-Mitglieder zeigt die gewählte Rechtsform der SE eine starke Verbundenheit und Erwartung gegenüber Europa, die - in Ergänzung und Verstärkung der nationalen Ansätze – durch die die vielen zukünftigen wirtschaftlichen, sozialen und ökologischen Herausforderungen besser bewältigt werden können. Es ist daher wichtig, diesem Status die größtmögliche Attraktivität zu verleihen."

Im Rahmen der Annäherung der nationalen Steuervorschriften fordert die ASEP, die Bedingungen für die Gründung einer Europäischen Gesellschaft zu lockern und schlägt der  Europäische Kommission vor, die beginnenden Debatten um das Maßnahmenpaket zum Gesellschaftsrecht zu nutzen, damit das Potenzial des Statuts der Europäischen Gesellschaft voll ausgeschöpft werden kann.
