CEEP opinion on "the Guide on Social Considerations in Public Procurement"

1. General Comment

Buttressing public procurement in sound socially-responsible principles seems essential, if only to disseminate consciousness on the importance of such principles within the business community. Public Authorities have a duty to provide raise awareness on this issue and follow a coherent approach in their procurement policy.

CEEP Statement on the (future) Review of EU Telecoms Rules

In view of the upcoming negotiations on the future Review of the EU Telecoms Rules, CEEP members advocate and expect the next generation access networks and the risky investments’ issues to stay high up in the debate. They also support Parliament’s strong commitment to dynamic spectrum management and accessible telecommunication services.

1. Recent developments
Over the past months, the European economy has continued to slide. Conditions in the financial sector have remained fragile and credit flows are still far from normal.

Passenger rights legislation requires sound impact assessment

The European road transport and travel industry calls upon EU Transport Ministers to limit the scope of the future regulation on passenger rights in bus and coach transport and to demand a sound impact assessment from the European Commission.

ENEL: Board of directors sets the terms of the campany's rights offering

• The subscription price has been set at 2.48 euros per share, while the option ratio has been set such that rights to subscribe for 13 new shares will be granted in respect of every 25 existing shares.

• The offering will involve the issuance of a maximum of 3,216,938,192 new shares, at an aggregate proceeds of 7,978,006,716 euros.

ENEL: Agreed disposal of 80% equity stake in ENEL rete gas to F2i and AXA private equity

• The agreement provides for the sale of 80% of the share capital of Enel Rete Gas SpA, a 99.88% owned subsidiary of Enel Distribuzione SpA, to F2i and AXA Private Equity, for a consideration of 480 million euros.

• Conclusion of the agreement is subject to approval by the Antitrust Authority, to approval by the Regulatory Authority for Electricity and Gas of the Distribution and Metering Tariffs for 2009 and to the signing of a financing agreement between Enel Rete Gas and a pool of banks.

ENEL: Consob approves the italian prospectus for ENEL's rights ofering; calendar for the offering fixed.

Rome, May 27, 2009 – CONSOB, the Authority regulating Italian capital markets, today approved for publication the prospectus for Enel S.p.A.’s rights offering. The rights offering will involve the issuance and listing on the Italian stock exchange (the “Exchange”) of new Enel’s ordinary shares representing up to 8 billion euros of new share capital, premium included, as approved by Enel’s Board of Directors at its May 6, 2009 meeting, and in accordance with the authorization granted at the Shareholders’ Meeting on April 29, 2009.
